Terms for free business listings
Version 1.0 · Last updated: 28 October 2026
- About these terms. These terms apply when you ask Proplexo Advisory (Proplexo Limited, company 15522252, registered office: Proplexo House, Unit 118, Golborne Enterprise Park, Greater Manchester, England, WA3 3GR) to list a business for sale on our website. They apply in addition to our Terms of Website Use. Our Privacy Notice explains how we use your information.
- The listing is free and non-exclusive. No listing fee. No introduction fee. No success fee. No completion fee. We do not charge you any of these because your business is listed, because we receive an enquiry, because we introduce a buyer, or because a sale completes. A fee is payable only if you separately choose to engage Proplexo for an advisory service under its own terms. The listing does not depend on you buying any service from us. The listing is non-exclusive: you remain free to market the business yourself, through other advisers, brokers or websites, and to sell it to anyone.
- What the free listing includes – and what it does not. The free listing is not a sale-advisory mandate. Unless you separately engage us in writing, we do not negotiate the terms of a sale for you, advise you whether to accept an offer, carry out due diligence on your behalf or manage the transaction through to completion. Within the free listing we review your request, carry out the checks in clause 6, prepare an anonymised listing for your approval, publish it if you approve it, receive buyer enquiries, coordinate non-disclosure agreements, pass on information you have approved, and can introduce you to an interested buyer.
- No client money. We do not receive, hold or pass on deposits, purchase money or any other money for you or a buyer, and we do not provide escrow or a similar service.
- Which sales we can list. We list only:
- (a) a sale of the whole of a company, or of shares carrying at least 50% of its voting rights; or
- (b) a sale of a business and its assets where no freehold or leasehold interest in land or premises is transferred.
We do not list a minority stake, an investment or any form of fundraising. If the ownership of the business, or the structure of the proposed sale or of a buyer, is unusual, we will review it with you before preparing any listing or making any introduction, and we may decline it. We cannot list a sale that includes the transfer of a freehold, the assignment of a lease, the grant of a new lease or any other transfer of an interest in land. If your sale includes premises, please contact us to discuss the alternatives. We review every request and may decline any request, or remove any listing, at our discretion and without giving reasons. We do not have to publish any listing.
- Your authority and our checks. You confirm that you own the business, or are authorised by all of its owners to ask us to list it, and that listing it does not breach any agreement or duty you owe to anyone. You will tell us at once if that changes. Before we publish, we will check your identity and authority and carry out the sanctions and other checks we are required, or reasonably decide, to make. The law may require further checks on you or on a buyer at any stage. We may pause or end the listing if the checks cannot be completed. These checks are for our legal and compliance purposes only. They are not a check of the business, its value or the information you give us.
- Accuracy. You are responsible for the information you give us. It must be accurate, complete and not misleading, including by omission, and you will tell us promptly if anything changes. We do not independently verify it unless we tell you in writing that we have. The listing will say that the information has been supplied by the seller and has not been verified by us, and that it is not a recommendation.
- Anonymity and confidentiality. We prepare an anonymised listing. We will not publish your name, the business's name or address, or other details that we reasonably consider would identify the business, without your agreement. We cannot guarantee that a reader will not work out the identity of the business from the information you approve.
- Your approval. We send you the draft listing. Nothing is published until you approve it in writing. We may edit the wording to keep it anonymous, accurate and suitable for publication; any change after your approval needs your approval again.
- Buyer enquiries. Buyers contact us, not you. We pass enquiries to you, or deal with them, as you instruct. We disclose your identity, or information that would identify the business, to a buyer only with your agreement and, where appropriate, after the buyer signs a non-disclosure agreement. We may offer separate paid services to buyers, subject to our conflicts procedure. We never act for both the buyer and the seller in the same sale.
- Our checks on buyers are limited. We carry out only basic checks on buyers who enquire: who they are, how to contact them, whether the enquiry appears genuine, and any checks the law requires. We do not vet, qualify or assess a buyer, and we do not verify a buyer's finances, funding or suitability. You should make your own enquiries, with your own advisers, before dealing with any buyer.
- Amending or withdrawing. You can ask us to amend or withdraw the listing at any time, free of charge. We will remove a withdrawn listing from our website within 2 working days. Buyers who have already enquired will be told only that the opportunity is no longer available.
- How long a listing runs. A listing runs for 180 days from publication. Before it ends we will ask whether you want to renew, update or withdraw it. We do not renew it automatically.
- Content you supply. You give us permission to use, edit and publish the information and any material you supply for the purpose of the listing, and you confirm you have the right to give that permission.
- No guarantee. We do not guarantee that your business will attract interest, that a buyer will be found, that a sale will happen, or the price or timing of any sale.
- Liability. Our total liability to you in connection with the free listing is limited to the amount you have paid us for the free listing service, which is £0. This does not limit or exclude our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. This clause does not apply to any advisory service you separately engage us for, which has its own terms. If you are a consumer, nothing in these terms affects your legal rights.
- Ending the listing. We may end a listing at any time, including if we reasonably believe the information is inaccurate, that you are not authorised, that a required check cannot be completed, or that continuing would breach the law or our professional obligations.
- Complaints. If you are unhappy, please contact complaints@proplexo.co.uk. Our complaints procedure is on our website.
- Law. These terms are governed by the law of England and Wales. The courts of England and Wales have non-exclusive jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts and you keep the protection of any mandatory laws that apply where you live.
- General. If any part of these terms is unenforceable, the rest continues to apply. No one else has any right to enforce these terms.
